1. Agreement

By accessing this website or engaging our services, you agree to these Terms & Conditions.

2. Services

Reach WebStudio provides website design, hosting, maintenance, and related digital services under a subscription-based model (“WaaS”). Scope of services is defined by the selected plan or agreed proposal.

3. Payments

  • Services are billed on a recurring monthly basis unless otherwise stated
  • Payment is due in advance of each billing cycle
  • Failure to pay may result in service suspension or termination

4. Subscription & Cancellation

  • A minimum initial term of six months is required for all plans
  • Payment is due monthly in advance beginning prior to commencement of work
  • After the initial six month term, services continue on a month-to-month basis
  • Clients may cancel after the minimum term with 30 days written notice via email
  • No refunds are provided for partial billing periods
  • Early cancellation within the minimum term will result in the remaining balance of the six month term becoming immediately due

5. Website Ownership

Unless otherwise agreed in writing:

  • Websites are provided as part of a managed service
  • Full ownership transfer (if applicable) may require a separate agreement or fee
  • Domains purchased by the client remain the client’s property

6. Client Responsibilities

Clients agree to:

  • Provide accurate and timely content, materials, and approvals
  • Ensure they have rights to all content submitted (images, text, logos)
  • Not use the website for unlawful purposes

7. Revisions & Updates

  • Plans may include a limited number of updates or revisions per billing period
  • Additional work beyond scope may be quoted separately

8. Service Availability

We strive to maintain reliable uptime but do not guarantee uninterrupted service. Maintenance, updates, or third-party issues may occasionally cause downtime.

9. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Total liability is limited to the amount paid for services in the preceding billing period

10. Termination

We reserve the right to suspend or terminate services if:

  • Terms are violated
  • Payments are not made
  • Services are used unlawfully

11. Third-Party Tools

Our services may integrate third-party tools or platforms. We are not responsible for their performance, availability, or policies.

12. Changes to Terms

We may update these Terms & Conditions at any time. Continued use of our services constitutes acceptance of the updated terms.

These Terms are governed by the laws of Alberta, Canada.

15. Website Upon Cancellation

Upon cancellation of services, the client’s website will remain active for a period of 30 days following the final billing date. After this period the website will be taken offline. Clients wishing to retain their website beyond cancellation may request a one-time buyout agreement. Buyout pricing will be quoted separately based on the scope of the site. Domains purchased by the client remain the client’s property and will be transferred upon request.

16. Language of Service

All services provided by Reach WebStudio are delivered in English only. Websites requiring content in any language other than English are considered custom projects and are not included in standard subscription plans. Custom multilingual requirements must be agreed upon in writing prior to commencement of work.

17. Dispute Resolution

In the event of a dispute arising from these Terms or the services provided, both parties agree to first attempt resolution through direct written communication. If unresolved, disputes shall be subject to binding arbitration or litigation in the province of Alberta, Canada under the laws of Alberta. Clients waive any right to pursue claims in their local jurisdiction.

18. Content Update Limits

Content updates are included in all plans but are subject to reasonable use limits as defined by the selected plan. Updates are defined as minor text changes, image swaps, or small additions. Structural changes, new page builds, or significant redesigns are considered out of scope and will be quoted separately.
